Terms of Service

Welcome to Babyly. These Terms of Service ("Terms") govern your access to and use of the Babyly mobile application ("App") operated by Babyly ("we," "our," or "us"). By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. About Babyly

Babyly is a local peer-to-peer marketplace that allows parents and caregivers to buy, sell, and give away children's items within their community. Babyly is a platform that connects users — we are not a party to any transaction between users, and we do not buy, sell, or take possession of any items listed on the App.

⚠️ Important: Private Transaction Disclaimer

All transactions on Babyly are conducted directly between buyers and sellers. Babyly does not process payments, handle money, facilitate shipping, or guarantee any transaction. We are not responsible for the quality, safety, legality, or accuracy of items listed, or for any disputes that arise between users. You transact at your own risk.

2. Eligibility

You must be at least 18 years old to use Babyly. By using the App, you represent and warrant that you are 18 or older and that you have the legal capacity to enter into these Terms. The App is intended for individuals, not businesses or commercial resellers.

3. Account Registration

To access most features of the App, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Keep your account information up to date
Maintain the confidentiality of your password
Notify us immediately of any unauthorized use of your account
Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, are being used inappropriately.

4. Listings and Content

When you post a listing on Babyly, you represent and warrant that:

You own the item or have the right to sell it
The item is accurately described, including its condition
All photos and videos are of the actual item being listed and accurately represent its condition
The item is not prohibited under these Terms or applicable law
You will honor the price and terms stated in your listing

You retain ownership of the content you post. By posting content on Babyly, you grant us a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute that content within the App for the purpose of operating the platform.

5. Prohibited Items

The following items may not be listed on Babyly. This list is illustrative, not exhaustive:

Recalled products: Any item subject to a mandatory recall by the U.S. Consumer Product Safety Commission (CPSC) or the manufacturer
Car seats: Used child car seats, booster seats, or infant carriers (due to the inability to verify structural integrity or accident history)
Unsafe sleep products: Drop-side cribs, sleep positioners, crib bumpers, or any item banned by federal safety standards for infant sleep
Items that pose choking or strangulation hazards when used outside of manufacturer guidelines or by children outside the recommended age range
Expired or compromised safety equipment: Helmets, safety gates, or similar items past their expiration date or that have been damaged
Items subject to mandatory federal or state safety standards that cannot be verified in a peer-to-peer context, including but not limited to formula, medications, medical devices, and regulated health products
Counterfeit items: Products falsely represented as a brand they are not
Illegal items: Any item whose sale is prohibited by federal, state, or local law
Weapons, drugs, or alcohol of any kind
Adult content of any kind
Animals or live organisms
Any item that Babyly determines, in its sole discretion, to be unsafe, inappropriate, potentially harmful to children, or inconsistent with the spirit of the platform — regardless of whether it appears on this list

We reserve the right to remove any listing, at any time and without prior notice, that we determine in our sole discretion violates these guidelines, poses a safety risk, or is otherwise inappropriate for the platform.

6. Prohibited Conduct

When using Babyly, you agree not to:

Harass, threaten, or intimidate other users
Post false, misleading, or fraudulent listings
Use the App for commercial reselling at scale or any purpose other than personal peer-to-peer exchange
Attempt to circumvent or disable any safety or security features of the App
Scrape, copy, or redistribute content from the App without our written permission
Use the App to solicit users to transact outside of the platform in a way that violates these Terms
Impersonate another person or create a false identity
Post content that is defamatory, obscene, or offensive
Violate any applicable local, state, or federal law or regulation
Engage in any conduct that Babyly determines, in its sole discretion, to be harmful, abusive, deceptive, or inconsistent with these Terms or the spirit of the platform — regardless of whether such conduct is specifically enumerated above

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these conduct standards, including suspending or terminating their account without prior notice.

7. Transactions Between Users

Babyly provides a platform for users to connect — we do not participate in, mediate, or guarantee any transaction. All arrangements regarding price, pickup location, payment method, and item condition are made directly between buyers and sellers.

We strongly encourage users to:

Meet in safe, public locations for exchanges
Inspect items before completing a transaction
Use secure payment methods
Trust your instincts — if something feels wrong, do not proceed

Babyly is not responsible for any loss, damage, injury, or dispute arising from a transaction between users. Any disputes must be resolved directly between the parties involved.

8. Ratings and Reviews

Babyly's ratings system allows users to rate each other after completing a transaction. Ratings are displayed publicly on user profiles. By submitting a rating, you represent that it reflects your honest experience. You agree not to submit false, retaliatory, or manipulated ratings. We reserve the right to remove ratings that violate these Terms.

9. Buy Nothing / Free Listings

Babyly's Buy Nothing feature allows users to give away items at no cost to other community members. Free listings are subject to the same prohibited item rules as paid listings. Users giving away items still bear responsibility for ensuring the item is safe for use.

10. Intellectual Property

The Babyly name, logo, App design, and all associated content created by us are protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without our prior written consent.

11. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BABYLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BABYLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP OR ANY TRANSACTION CONDUCTED THROUGH THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU HAVE PAID TO US IN THE PAST 12 MONTHS (WHICH, AS BABYLY IS CURRENTLY FREE, IS $0).

13. Indemnification

You agree to indemnify, defend, and hold harmless Babyly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the App, your violation of these Terms, or your violation of any rights of another user or third party.

14. Termination

We may suspend or terminate your account and access to the App at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may also delete your account at any time through Profile → Settings → Delete Account. Upon termination, your right to use the App will immediately cease.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the App shall be resolved in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.

16. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the App or by sending you a notification. Your continued use of the App after changes become effective constitutes your acceptance of the updated Terms.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Babyly regarding your use of the App and supersede all prior agreements and understandings.
